Organizational Structure

NHTS Outreach Foundation is the umbrella organization. The Articles identify charitable and educational initiatives including New Hope Theological Society (NHTS), Justice & Dignity Initiative, NHTS Tenants Civil Rights Advocacy Network, Dignity Village Initiative, Community Education Programs, and Research and Publications Programs.

Membership & Board Governance

The Articles state that the corporation has no voting members. Corporate powers are exercised by or under the authority of the Board of Directors. The affairs of the corporation are governed by a Board of Directors, with the number, qualifications, election procedures, terms of office, and duties of directors to be established by the Bylaws.

Specific directors, officers, board terms, committees, or Bylaw provisions will not be published here until authoritative records are verified.

Governance Limitations

• No part of net earnings may inure to the benefit of a private individual except reasonable compensation for services rendered in furtherance of the corporation’s purposes.
• No substantial part of activities may consist of lobbying except as permitted under applicable federal law.
• The corporation may not participate or intervene in a political campaign on behalf of or in opposition to a candidate for public office.
• Upon dissolution, assets are to be distributed exclusively for exempt purposes or to governmental entities for public purposes, consistent with the Articles.

Governance Principles
